Introduction
Welcome to GriidAi, a GeoAI platform that delivers advanced geospatial analysis, intelligence, and visualization tools powered by artificial intelligence. GriidAi is operated and maintained by GriidAi and its affiliates (collectively, "GriidAi," "we," "us," or "our"). Our platform is accessible at https://griidai.com.
These Terms of Service ("Terms"), along with our Privacy Policy and Acceptable Use Policy, govern your access to and use of the GriidAi platform, APIs, tools, datasets, and all associated services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you are using the Services on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to both you and that entity.
If you do not agree with any part of these Terms, you must discontinue use of the platform immediately.
1. Eligibility and Account Registration
To access GriidAi's Services, you must meet the following eligibility requirements:
You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
You must have the legal authority and capacity to enter into binding agreements.
You must not be barred from receiving the Services under applicable laws or regulations.
You agree to provide accurate, current, and complete registration information and to keep it updated.
GriidAi reserves the right to verify eligibility and to reject, suspend, or terminate any account that does not meet these requirements. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
2. Intellectual Property Rights
All content, software, geospatial datasets, AI models, algorithms, analytics outputs, visualizations, trademarks, service marks, trade names, and other materials made available through the GriidAi platform (collectively, "GriidAi Content") are the exclusive intellectual property of GriidAi or its licensors, and are protected by applicable intellectual property laws.
Subject to these Terms, GriidAi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes. You may not:
Reproduce, copy, distribute, sell, or sublicense any GriidAi Content without express written permission.
Modify, adapt, translate, or create derivative works based on GriidAi Content or the platform's underlying technology.
Use GriidAi's trademarks, logos, brand names, or service marks without prior written consent.
Reverse engineer, decompile, disassemble, or attempt to extract source code from any part of the platform.
Remove or alter any copyright, trademark, or other proprietary notices on the platform.
GriidAi reserves all rights not expressly granted herein. Unauthorized use may result in termination of access and appropriate legal action.
3. User Representations and Warranties
By accessing and using GriidAi, you represent and warrant that:
All information you provide during registration and throughout your use of the platform is accurate, truthful, and up to date.
You have the legal right and authority to use any data, files, or content you upload or process on the platform.
Your use of the Services complies with all applicable local, national, and international laws and regulations.
You will not use the platform to engage in any fraudulent, deceptive, or harmful activity.
You will not use the Services in any manner that infringes on the intellectual property or privacy rights of others.
4. Acceptable Use Policy
GriidAi is designed for legitimate geospatial and GeoAI applications. The following activities are strictly prohibited:
4.1 Prohibited Technical Activities
Attempting to gain unauthorized access to any part of the platform, servers, or databases.
Introducing malicious code, malware, bots, or automated scripts that interfere with platform operations.
Scraping, data mining, or harvesting GriidAi data or outputs through automated means without written permission.
Conducting denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against the platform.
Circumventing, disabling, or interfering with any security features or access controls.
4.2 Prohibited Content and Conduct
Using the platform for illegal, fraudulent, harmful, or unethical purposes.
Sharing, uploading, or transmitting content that is defamatory, obscene, harassing, or violates third-party rights.
Misrepresenting GriidAi data, outputs, or analyses to third parties in a misleading manner.
Using geospatial data or AI outputs for surveillance, targeting, or profiling of individuals without their consent.
Exporting or sharing data in violation of applicable export control laws or sanctions regulations.
GriidAi reserves the right to investigate suspected violations and to suspend or terminate access immediately upon discovery of prohibited activities.
5. Geospatial Data, AI Outputs, and Disclaimers
5.1 Nature of GeoAI Analysis
GriidAi leverages artificial intelligence, satellite imagery, geographic information systems (GIS), and third-party datasets to provide geospatial insights and analysis. While we strive for accuracy, all outputs are subject to the limitations inherent in AI modeling, data availability, and the dynamic nature of geospatial information.
5.2 Data Accuracy and Limitations
GriidAi relies on data sourced from third-party providers, satellite operators, government agencies, and open-data repositories. Accordingly:
Data may not reflect real-time conditions and may be subject to delays, gaps, or inaccuracies.
AI-generated analyses and predictions are probabilistic in nature and may not be suitable for all use cases.
Coverage, resolution, and accuracy may vary by geographic region and dataset.
Third-party data providers may update, discontinue, or alter their datasets without notice to GriidAi.
5.3 Intended Use of Outputs
GriidAi outputs are intended to support decision-making, research, and planning. They should NOT be used as the sole basis for:
Legal, regulatory, or compliance determinations.
Navigation, emergency response, or life-safety decisions.
Investment, insurance, or financial underwriting decisions without independent verification.
Official permitting, zoning, or government approvals.
Users are solely responsible for determining the fitness of GriidAi outputs for their specific use cases and for independently verifying critical findings.

7. User-Generated Content
Users may upload, submit, or generate content through the GriidAi platform, including geospatial datasets, map layers, annotations, and analysis outputs ("User Content"). The following terms apply:
You retain ownership of your User Content. GriidAi does not claim ownership over data you upload.
By submitting User Content, you grant GriidAi a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing the Services.
You represent that you have all necessary rights to submit User Content and that it does not violate any applicable laws or third-party rights.
GriidAi is not responsible for the accuracy, legality, or quality of User Content and reserves the right to remove content that violates these Terms.
You are solely responsible for ensuring that any data you upload or process complies with applicable data protection, privacy, and export control laws.
8. Commercial Terms and Subscriptions
8.1 Pricing and Plans
GriidAi offers various service tiers, including free and paid subscription plans. Pricing details are available on the platform and may be updated from time to time. GriidAi will provide reasonable notice of material pricing changes.
8.2 Payment Obligations
For paid services, the following terms apply:
All fees are due in advance unless otherwise agreed in writing.
Payments are processed securely through our designated payment providers.
You authorize GriidAi to charge the applicable fees to your designated payment method.
All fees are exclusive of applicable taxes; you are responsible for any applicable sales, use, VAT, or other taxes.
8.3 Refund Policy
Fees for services rendered or digital reports generated and delivered are generally non-refundable. Exceptions may apply in cases of verified service failures attributable to GriidAi. Refund requests must be submitted to contact@griidai.com within 14 days of the transaction.
8.4 Enterprise and Custom Agreements
Organizations requiring custom geospatial workflows, API access, dedicated infrastructure, or bulk data processing may contact GriidAi at contact@griidai.com to discuss enterprise licensing and custom service agreements.
9. Third-Party Services and Integrations
The GriidAi platform may integrate with, link to, or rely upon third-party services, APIs, datasets, satellite providers, and web services. GriidAi is not responsible for the availability, accuracy, privacy practices, or content of third-party services. Your use of third-party integrations is governed by the respective terms and policies of those third parties.
GriidAi does not endorse and makes no warranties regarding third-party services or data. If you access third-party content through GriidAi, you do so at your own risk.
10. Disclaimer of Warranties and Limitation of Liability
10.1 Disclaimer of Warranties
THE GRIIDAI PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIIDAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Merchantability, fitness for a particular purpose, and non-infringement.
Uninterrupted, secure, or error-free platform operation.
The accuracy, completeness, reliability, or timeliness of geospatial data and AI outputs.
10.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRIIDAI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits, revenue, data, business opportunities, or goodwill.
Damages arising from your reliance on platform data or AI outputs.
Service interruptions, data breaches, or third-party actions.
In no event shall GriidAi's total aggregate liability to you exceed the greater of (a) the total fees you paid to GriidAi in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100.00).
11. Indemnification
You agree to defend, indemnify, and hold harmless GriidAi and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your breach of any provision of these Terms.
Your violation of applicable laws or regulations.
Your use or misuse of the platform or its outputs.
Any User Content you submit, upload, or transmit through the platform.
Any claims brought by third parties arising from your use of the Services.
12. API Access and Developer Terms
GriidAi may provide API access to its geospatial and GeoAI capabilities. If you access GriidAi Services through an API, the following additional terms apply:
API access is subject to rate limits and usage quotas communicated in your account dashboard or API documentation.
You may not use API outputs to train, fine-tune, or benchmark competing AI or geospatial models without prior written consent from GriidAi.
API keys are confidential and must not be shared. You are responsible for all activity using your API credentials.
GriidAi reserves the right to modify, throttle, or discontinue API access at any time with reasonable notice.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which GriidAi operates, without regard to conflict-of-law principles.
13.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the GriidAi Services, the parties agree to first attempt to resolve the matter informally by contacting GriidAi at contact@griidai.com. If the matter is not resolved within thirty (30) days, it shall be submitted to binding arbitration under applicable arbitration rules.
13.3 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes with GriidAi on an individual basis only and waive any right to participate in class action or representative proceedings.
14. Modifications, Suspension, and Termination
GriidAi reserves the right to modify these Terms at any time. Updated Terms will be posted on the platform with a revised effective date.
Your continued use of the platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
GriidAi may suspend or terminate your access to the Services at its discretion, with or without cause, upon reasonable notice.
Upon termination, all licenses granted to you will immediately cease, and provisions that by their nature should survive (including intellectual property, liability, indemnification, and dispute resolution clauses) shall remain in effect.
